SyncStaq Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of SyncStaq, a Stripe-to-Google-Sheets data sync service operated by Blue Planit LLC ("Blue Planit," "SyncStaq," "we," "us," or "our").

By creating an account, connecting Stripe or Google, starting a trial, purchasing a subscription, or otherwise using SyncStaq, you agree to these Terms. If you are using SyncStaq on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

SyncStaq helps users sync selected Stripe billing and business data into Google Sheets for reporting, reconciliation support, product labeling, analysis, and other spreadsheet-based workflows.

SyncStaq is a one-way sync service from Stripe to Google Sheets. SyncStaq does not modify your Stripe account, create charges, issue refunds, change subscriptions, or take payment actions in Stripe.

3. Eligibility and Accounts

You must be at least 18 years old and capable of entering into a binding agreement to use SyncStaq.

You are responsible for:

  • Keeping your SyncStaq, Stripe, Google, and related account credentials secure.

  • Ensuring that anyone who uses SyncStaq through your account is authorized to do so.

  • Ensuring that you have the right to connect the Stripe account and Google account used with SyncStaq.

  • Maintaining accurate account, billing, and contact information.

We may suspend or terminate access if we believe your account is being used without authorization, violates these Terms, creates security risk, or may harm SyncStaq, our users, Stripe, Google, or other third parties.

4. Third-Party Services

SyncStaq depends on third-party services, including Stripe, Google, cloud infrastructure providers, analytics providers, payment processors, and email or support tools.

Your use of Stripe, Google, and other third-party services is governed by their own terms and policies. We are not responsible for third-party services, APIs, outages, rate limits, permission changes, data models, or other changes that affect SyncStaq.

Stripe and Google Sheets are trademarks of their respective owners. SyncStaq is not endorsed by Stripe or Google unless expressly stated by those companies.

5. User Data, Permissions, and Sync Behavior

To provide SyncStaq, you authorize us to access, process, and transfer data from your connected Stripe account and write data to your connected Google Sheet. We only use those permissions to provide, maintain, secure, debug, support, and improve SyncStaq, as described in our Privacy Policy.

SyncStaq may store account identifiers, sheet identifiers, sync configuration, sync state, object identifiers, logs, error diagnostics, billing information, and other technical metadata necessary to operate the service. Our Privacy Policy describes our data practices in more detail.

You are responsible for reviewing the permissions you grant to SyncStaq and for revoking access when you no longer want SyncStaq connected to Stripe or Google.

6. Stripe Is the Source of Truth

Stripe remains the authoritative source for your Stripe data. Google Sheets generated or updated through SyncStaq are a working copy for operational use.

You acknowledge that synced data may be delayed, incomplete, inaccurate, duplicated, stale, unavailable, or affected by third-party service issues, API behavior, rate limits, sync errors, user edits, permissions, or other technical limitations.

You are responsible for verifying critical information directly in Stripe or other authoritative systems before relying on it for financial reporting, accounting, tax, commission, payout, compliance, legal, or business decisions.

7. No Accounting, Tax, Legal, Financial, or Compliance Advice

SyncStaq is not an accounting system, tax product, legal service, audit tool, payment processor, financial advisor, or compliance system.

Any reports, spreadsheets, labels, examples, templates, dashboards, support responses, or documentation provided by SyncStaq are for operational and informational purposes only. You are responsible for your own accounting, tax, legal, financial, audit, reconciliation, compliance, and business decisions.

You should consult qualified professionals before relying on synced data for accounting, tax, legal, compliance, investor reporting, regulatory, or other high-stakes purposes.

8. Sync Cadence, Availability, and Changes

SyncStaq may describe expected sync cadence, supported data types, backfill behavior, or other functionality on our website or in the product. Unless we expressly agree otherwise in writing, those descriptions are not service-level guarantees.

SyncStaq may be unavailable, delayed, or degraded because of maintenance, technical issues, third-party service failures, API limits, changes to Stripe or Google services, security incidents, billing status, or other causes.

We may add, remove, or change features, supported data types, schemas, columns, sheet layouts, or workflows at any time. We will try to avoid unnecessary disruption, but we do not guarantee that historical schemas, columns, formulas, or workflows will remain unchanged.

9. User Responsibilities

You are responsible for:

  • Using SyncStaq only for lawful purposes.

  • Reviewing synced data before relying on it.

  • Protecting and managing access to your Google Sheets.

  • Avoiding edits to protected or raw sync tabs unless you understand the consequences.

  • Backing up any important spreadsheets, formulas, reports, or business records.

  • Ensuring your use of SyncStaq complies with laws, contracts, privacy obligations, and third-party terms that apply to you.

  • Obtaining any notices, consents, permissions, or authorizations required for your data and users.

You may not use SyncStaq to:

  • Violate laws or third-party rights.

  • Attempt to access accounts, data, or systems without authorization.

  • Interfere with, disrupt, reverse engineer, scrape, or overload SyncStaq.

  • Transmit malware or harmful code.

  • Use SyncStaq for high-risk activities where failure could cause death, personal injury, or severe physical, financial, or environmental damage.

  • Misrepresent SyncStaq's relationship with Stripe, Google, or any third party.

10. Subscriptions, Trials, Billing, and Cancellation

Paid plans, pricing, included features, trial terms, billing intervals, and cancellation options are described on our pricing page or checkout flow.

If you start a free trial, the trial will last for the period stated during signup or checkout. If payment information is required for the trial, your paid subscription may begin automatically at the end of the trial unless you cancel before the trial ends.

Subscriptions renew automatically unless canceled. You authorize us and our payment processor to charge the payment method on file for subscription fees, taxes, and other applicable charges.

You may cancel according to the process provided in the product, checkout flow, billing portal, or support instructions. Cancellation stops future renewal charges but does not necessarily refund amounts already paid.

We may suspend or terminate access for failed payments, chargebacks, suspected fraud, misuse, security concerns, or violation of these Terms.

11. Refunds

Unless a different refund policy is stated at checkout or required by law, you may request a refund within 14 days after your first paid purchase of SyncStaq by contacting admin@blueplanit.co with your account and purchase details.

Refunds are reviewed case by case and may be granted or denied at our discretion, except where applicable law requires otherwise. We may decline refunds for abuse, repeated refund requests, chargebacks, fraud, or violations of these Terms.

Stripe, payment processor, bank, tax, currency conversion, or third-party fees may not be refundable.

12. Intellectual Property

SyncStaq, including its software, design, workflows, names, logos, content, documentation, and related intellectual property, is owned by Blue Planit LLC or its licensors.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use SyncStaq for your internal business purposes.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from SyncStaq except as allowed by law or expressly authorized by us in writing.

If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.

13. Confidentiality

If either party receives non-public information from the other party that should reasonably be understood to be confidential, the receiving party will use reasonable care to protect it and will use it only for purposes related to SyncStaq. This does not apply to information that is public, already known, independently developed, or lawfully received from another source.

14. Privacy and Security

Our Privacy Policy explains how we collect, use, store, and share information. By using SyncStaq, you agree to our Privacy Policy.

If SyncStaq processes personal data on your behalf as a processor or service provider, the Data Processing Addendum attached as Appendix A applies and is incorporated into these Terms.

We use reasonable technical and organizational measures designed to protect information we process. However, no method of transmission, processing, or storage is completely secure, and we do not guarantee absolute security.

15. Disclaimer of Warranties

SyncStaq is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and error-free operation.

We do not warrant that SyncStaq will be uninterrupted, secure, accurate, complete, current, compatible with your workflows, or free from errors, bugs, delays, data loss, security incidents, or harmful components.

16. Limitation of Liability

To the fullest extent permitted by law, Blue Planit LLC, SyncStaq, and our owners, officers, employees, contractors, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, business interruption, loss of data, cost of substitute services, or damages arising from reliance on synced data.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to SyncStaq or these Terms will not exceed the greater of:

  • The fees you paid to us for SyncStaq during the 3 months before the event giving rise to the claim; or

  • USD $100.

The limitations above apply regardless of the legal theory, whether based in contract, tort, negligence, strict liability, warranty, statute, or otherwise, and even if we have been advised of the possibility of damages.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless Blue Planit LLC, SyncStaq, and our owners, officers, employees, contractors, agents, affiliates, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of SyncStaq.

  • Your data, spreadsheets, reports, formulas, workflows, or business decisions.

  • Your violation of these Terms.

  • Your violation of law or third-party rights.

  • Your connected Stripe, Google, or other third-party accounts.

  • Any unauthorized use of SyncStaq through your account.

18. Termination

You may stop using SyncStaq at any time. You may also disconnect SyncStaq from Stripe or Google through the relevant account settings or by contacting us for assistance.

We may suspend or terminate your access to SyncStaq at any time if we believe you violated these Terms, created risk, failed to pay, used SyncStaq unlawfully, or if continued access could harm us, users, third parties, or the service.

Upon termination, your right to use SyncStaq ends. Sections that by their nature should survive termination will survive, including provisions relating to payment obligations, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending an email, displaying an in-product notice, or using another reasonable method.

The updated Terms become effective when posted unless a later effective date is stated. Your continued use of SyncStaq after the updated Terms become effective means you accept the updated Terms.

20. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or SyncStaq will be brought in the state or federal courts located in Florida, and you consent to the jurisdiction and venue of those courts.

Draft note for counsel: Consider whether to add arbitration, class action waiver, small claims carveout, or county-specific venue. These provisions can be useful but should be reviewed carefully.

Appendix A: Data Processing Addendum

A1. Scope and Applicability

This DPA applies when SyncStaq processes personal data on behalf of a business customer in connection with SyncStaq, including personal data contained in or derived from the customer's connected Stripe account or Google Sheets.

For purposes of this DPA:

  • "Customer" means the person or organization using SyncStaq and agreeing to these Terms.

  • "Customer Personal Data" means personal data that SyncStaq processes on behalf of Customer through SyncStaq.

  • "Controller," "processor," "personal data," "processing," "data subject," and similar terms have the meanings given to them under applicable data protection laws.

  • "Data Protection Laws" means applicable privacy and data protection laws, including the GDPR, UK GDPR, Data Protection Act 2018, and applicable U.S. state privacy laws.

A2. Roles of the Parties

For Customer Personal Data, Customer is the controller or business, and Blue Planit LLC is the processor or service provider.

Customer determines the purposes and means of processing Customer Personal Data, including which Stripe and Google accounts to connect, what data is synced, and how Customer uses synced Google Sheets.

Blue Planit processes Customer Personal Data only to provide SyncStaq and as otherwise permitted by this DPA, the Terms, the Privacy Policy, Customer's documented instructions, or applicable law.

Blue Planit may act as an independent controller for account administration, billing, product analytics, security, fraud prevention, compliance, legal, and business operations data, as described in the Privacy Policy.

A3. Processing Details

Subject matter:

  • Stripe-to-Google-Sheets sync and related account, support, security, debugging, billing, and service operations.

Duration:

  • For the term of Customer's use of SyncStaq, plus any retention period permitted or required by the Terms, Privacy Policy, this DPA, backup cycles, security needs, legal obligations, or legitimate business records.

Nature and purpose:

  • Accessing, retrieving, processing, transforming, syncing, writing, monitoring, logging, debugging, securing, and supporting Stripe-to-Google-Sheets data sync workflows.

Categories of data subjects:

  • Customer's users and personnel.

  • Customer's Stripe customers, subscribers, payers, contacts, or other individuals whose information appears in connected Stripe or Google accounts.

  • Individuals communicating with SyncStaq for support or account administration.

Categories of personal data:

  • Names, email addresses, account identifiers, customer identifiers, payment or subscription metadata, transaction metadata, invoice metadata, product or subscription information, Stripe object IDs, Google account and sheet metadata, sync configuration, logs, diagnostics, and other data processed through connected Stripe and Google accounts.

Sensitive data:

  • SyncStaq is not intended for processing sensitive personal data unless Customer chooses to include such data in connected Stripe or Google accounts. Customer is responsible for ensuring it has a lawful basis and all required notices and consents for any sensitive data.

A4. Customer Instructions

Customer instructs Blue Planit to process Customer Personal Data as necessary to:

  • Provide, maintain, support, secure, and improve SyncStaq.

  • Connect to Stripe and Google using Customer-authorized permissions.

  • Sync selected Stripe data into Google Sheets.

  • Troubleshoot errors, process support requests, and maintain service reliability.

  • Comply with applicable law and enforce the Terms.

Customer may provide additional documented instructions only if they are consistent with the Terms and SyncStaq's functionality.

Blue Planit will notify Customer if it believes an instruction violates Data Protection Laws, unless prohibited by law.

A5. Customer Responsibilities

Customer is responsible for:

  • Providing all notices and obtaining all consents required for SyncStaq to process Customer Personal Data.

  • Ensuring it has a lawful basis for processing and instructing Blue Planit to process Customer Personal Data.

  • Ensuring connected Stripe and Google accounts are properly authorized.

  • Responding to data subject requests where Customer is the controller.

  • Ensuring Customer's use of SyncStaq complies with Data Protection Laws.

  • Avoiding submission of sensitive personal data unless appropriate safeguards, notices, consents, and legal bases are in place.

A6. Confidentiality

Blue Planit will ensure that personnel authorized to process Customer Personal Data are subject to confidentiality obligations or professional duties of confidentiality.

A7. Security Measures

Blue Planit will implement reasonable technical and organizational measures designed to protect Customer Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or unauthorized access.

Security measures may include, as appropriate:

  • Access controls and least-privilege permissions.

  • Encryption in transit.

  • Secure cloud infrastructure and managed services.

  • Logging and monitoring.

  • Credential and token protection.

  • Backups and resilience measures.

  • Separation of production and development access where appropriate.

  • Personnel access limited to those with a business need.

A8. Subprocessors

Customer authorizes Blue Planit to use subprocessors to provide SyncStaq.

Current subprocessors may include providers used for cloud hosting, storage, logging, monitoring, analytics, tag management, payment processing, email, support, and other service operations, including AWS, Google, Stripe, Amplitude, and Google Tag Manager/Google Analytics where applicable.

Blue Planit will require subprocessors that process Customer Personal Data to be bound by written obligations designed to provide a level of protection materially similar to this DPA.

Blue Planit remains responsible for its subprocessors' processing of Customer Personal Data to the extent required by applicable Data Protection Laws.

A9. International Transfers

Customer acknowledges that Blue Planit is located in the United States and that Customer Personal Data may be processed in the United States and other countries where Blue Planit or its subprocessors operate.

Where Customer Personal Data is transferred from the EEA, United Kingdom, or Switzerland to a country not recognized as providing adequate protection, the parties will rely on appropriate safeguards required by Data Protection Laws, such as the European Commission Standard Contractual Clauses, the UK International Data Transfer Addendum, or other lawful transfer mechanisms.

A10. Assistance With Data Subject Requests

Taking into account the nature of processing and information available to Blue Planit, Blue Planit will provide reasonable assistance to Customer in responding to data subject requests related to Customer Personal Data.

If Blue Planit receives a request directly from a data subject relating to Customer Personal Data, Blue Planit may direct the data subject to Customer unless required by law to respond differently.

A11. Assistance With Compliance

Taking into account the nature of processing and information available to Blue Planit, Blue Planit will provide reasonable assistance to Customer with data protection impact assessments, security obligations, and consultations with supervisory authorities, where required by Data Protection Laws and where Customer cannot reasonably fulfill those obligations without Blue Planit's assistance.

Blue Planit may charge reasonable fees for assistance that is not included in standard support.

A12. Security Incidents

Blue Planit will notify Customer without undue delay after becoming aware of a breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Personal Data processed by Blue Planit on Customer's behalf.

The notice will include information reasonably available to Blue Planit, which may include the nature of the incident, affected data, likely consequences, and measures taken or proposed to address the incident.

Notification of a security incident is not an admission of fault or liability.

A13. Deletion or Return

Upon termination of Customer's use of SyncStaq or upon Customer's written request, Blue Planit will delete or return Customer Personal Data in its possession or control, unless retention is required or permitted by law, security, fraud prevention, backup cycles, dispute resolution, accounting, legitimate business records, or continued provision of SyncStaq.

Customer acknowledges that Customer Personal Data written to Customer's Google Sheets remains in Customer's Google account and must be managed by Customer.

A14. Audits and Information

Blue Planit will make available information reasonably necessary to demonstrate compliance with this DPA.

Customer may request reasonable information about Blue Planit's security and privacy practices. Any audit or inspection must be limited to what is required by Data Protection Laws, conducted during normal business hours, subject to reasonable confidentiality obligations, and designed to avoid disrupting SyncStaq or compromising security of other customers.

Blue Planit may satisfy audit obligations by providing summaries, policies, questionnaires, certifications, reports, or other documentation where available.

A15. U.S. State Privacy Service Provider Terms

To the extent U.S. state privacy laws apply and Customer discloses personal information to Blue Planit for processing on Customer's behalf, Blue Planit will process such personal information as a service provider or processor for the purposes described in the Terms, Privacy Policy, and this DPA.

Blue Planit will not sell Customer Personal Data or share Customer Personal Data for cross-context behavioral advertising where Blue Planit processes it solely as Customer's service provider or processor.

Blue Planit will not retain, use, or disclose Customer Personal Data except as permitted by the Terms, this DPA, Customer's instructions, or applicable law.

A16. Conflict

If there is a conflict between this DPA and the Terms, this DPA controls only with respect to processing Customer Personal Data as a processor or service provider. The Terms control all other matters.

A17. Liability

The limitations of liability in the Terms apply to this DPA to the fullest extent permitted by applicable law.
